IMPORTANT - READ CAREFULLY: BY DOWNLOADING OR INSTALLING THE SOFTWARE AND DOCUMENTATION FILES DOWNLOADED OR INCLUDED ON THE MEDIA DELIVERED TO YOU BY SCALABLE (THE "SOFTWARE"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS SOFTWARE LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS SOFTWARE LICENSE AGREEMENT, YOU MAY NOT DOWNLOAD OR INSTALL THE SOFTWARE.
License Information: By proceeding with the use of this product, YOU AGREE to be bound by the following warnings and other legal terms and conditions. You may reject this License Agreement if these terms are unacceptable to you ONLY by not installing the Software. Installation of the Software shall constitute conclusive evidence of your acceptance of the terms of this License Agreement.
Definitions: "Scalable" refers to Scalable Software, L.L.C.; "you" refers to the person downloading or installing the Software (and his or her employer if applicable).
License and Ownership Rights: This no-charge downloadable object-code version of the Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. By downloading the Software, you do not acquire ownership of any intellectual property rights in the Software, nor of any disk copy (or copies) or other tangible embodiments of the Software; all such ownership rights remain with Scalable (or its licensor if applicable). Upon installation, you are hereby granted by Scalable a nonexclusive, nontransferable, royalty-free limited license to use the Software commencing on the day of installation. Such use is limited as set forth in Section 6 below title "License Restrictions")
Disclaimer of Warranties: The Software is provided to you (at no charge) AS IS, WITH ALL FAULTS, AND WITH NO WARRANTY OF ANY KIND. Neither Scalable nor any of its officers, directors, employees, agents, or suppliers will be responsible for any damage, loss, expense, penalties, or other harm that might arise, directly or indirectly, from your use of the Software or from the Software's failure to do what you want it to do; and you will indemnify and defend all of the foregoing from any such responsibility. Scalable makes NO WARRANTIES, CONDITIONS, or SUPPORT of any kind about the Software or the results you might obtain if you use the Software. Scalable specifically DISCLAIMS any express or implied warranty or condition of title, non-infringement, merchantability, or fitness for a particular purpose, or any implied term of quality.
License Restrictions: The Software and its related user documentation and any copies, translations, compilations, partial copies, modifications, improvements, enhancements, and updates are proprietary to Scalable and contain copyrighted material, trade secrets and other proprietary materials. You agree to receive the Software and its related user documentation in strict confidence and not to disclose the Software or its related user documentation in any manner to any third party. You may not transfer, sell, modify, create derivative works from, translate, reverse-engineer, reverse compile or decompile, disassemble, or otherwise reverse-engineer the Software in whole or in part, nor permit or assist anyone else to do so, without Scalable's prior written consent. You agree that you will use the Software only internally within your own company, solely for evaluation purposes.
Limitation on Liability: Independent of paragraph 1, IN NO EVENT WILL YOU BE ENTITLED TO ANY DAMAGES, WHETHER DIRECTLY CAUSED OR SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND in connection with or relation to your use of the Software, in contract, tort, or otherwise, regardless of whether Scalable knows or has reason to know of the possibility of the same.
Feedback License: You agree and hereby license (without royalty or other compensation and on a worldwide, perpetual, and irrevocable basis) to Scalable the right to adopt and use any ideas or suggestions you provide to Scalable about the functions, features, performance or enhancement (including error correction) of the Software. Please feel free to call Scalable at any time with any questions or comments you may have about the Software.
No Assignment: You agree that you may not assign your rights or obligations under this Agreement without the express written consent of Scalable.
Export Restrictions: You shall not export the Software Product outside the United States except as authorized or permitted by the laws and regulations of the United States. If you rightfully obtained the Software Product outside the United States, you shall not re-export the Software Product except as permitted by the laws and regulations of the United States and the laws and regulations of the jurisdiction in which you obtained the Software Product.
Government End Users: If you are affiliated with NASA, then the government's rights in the Software Product are as defined in clause 18-52.227-86(d) of the NASA Supplement to the FAR. Otherwise, if you are affiliated with a unit or agency of the United States government, the government's rights in the Software Product are as defined in clause 52.227-19(c)(2) of the FAR.
